1. Acceptance of These Terms
These Terms of Service (“Terms”) govern your access to and use of www.assistmedix.com (the “Site”) and form a binding agreement between you and AssistMedix (“AssistMedix,” “we,” “us,” or “our”). By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms or to the Privacy Policy, please do not use the Site.

4. Intended Audience

AssistMedix grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site, subject to your ongoing compliance with these Terms.

- To transmit any viruses, spyware, worms, Trojan horses, or other malicious code; or
- To transmit any material that infringes the intellectual property, privacy, or other rights of any third party.
7. Monitoring and Enforcement
We may monitor use of the Site to check compliance with these Terms and may remove any material we consider unlawful, inappropriate, or in violation of these Terms or a third party’s rights. If we identify a violation, we may take any action we consider appropriate, including removing content, suspending or terminating access, disclosing information to affected third parties, and referring the matter to law enforcement. You agree that AssistMedix and its affiliates, officers, employees, contractors, and agents are not liable for any action taken in connection with an investigation by AssistMedix or by law enforcement.
8. Indemnification
You agree to defend, indemnify, and hold harmless AssistMedix, its affiliates, and their respective officers, directors, employees, contractors, agents, and licensors from any claim, liability, loss, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, any information obtained through it, or your violation of these Terms.
9. Disclaimer of Warranties
YOUR USE OF THE SITE IS AT YOUR OWN RISK. THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. AssistMedix does not warrant that the Site will be accurate, reliable, error-free, uninterrupted, or free of viruses or other harmful components, or that it will meet your requirements. To the fullest extent permitted by law, AssistMedix disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This does not affect any warranties that cannot be excluded or limited under applicable law.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AssistMedix and its affiliates, officers, directors, employees, contractors, agents, and licensors will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages of any kind arising out of or relating to your use of, or inability to use, the Site or any services or materials obtained through it — including loss of profits, revenue, data, goodwill, or anticipated savings — under any legal theory, even if the possibility of such damages was foreseeable. Where liability cannot be excluded, the total liability of AssistMedix to you for any claim arising out of or relating to the Site will not exceed one hundred dollars ($100). This does not affect any liability that cannot be excluded or limited under applicable law.

14. Severability

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of AssistMedix.
16. Termination
AssistMedix may terminate or suspend these Terms and your access to the Site at any time, with or without notice, for any reason, including any violation of these Terms.
17. Governing Law and Jurisdiction
